I represent buyers, sellers, and investors in mergers and acquisitions across the small and lower middle-markets. My background includes both legal advisory and operational roles in privately held businesses, which informs how I approach deal structuring and negotiation. Governance & Structuring

Business structure affects everything from tax exposure to liability protection to exit flexibility. I handle entity formations ranging from single-member LLCs to multi-entity, multi-jurisdictional corporate structures. I work closely with your tax, accounting, and other professional advisors to develop and implement a corporate structure that fits your current operations and long-term plans.

Corporate Administration & Compliance

I function as more than outside counsel. For many clients, I handle ongoing administrative and compliance functions that would otherwise require in-house legal staff. Day-to-day work in this area includes drafting and reviewing commercial contracts, advising on state and federal regulatory compliance, and managing the legal side of operational decisions as they arise. The goal is to handle legal and administrative matters efficiently so you can focus on running your business.

Human Resources

I draft and review employment contracts, independent contractor agreements, restrictive covenants (non-compete, non-solicitation), employee handbooks, and employer policies. I also advise on termination procedures, internal investigations, and responses to administrative charges.

Employment matters frequently intersect with my transactional and governance work. Restrictive covenants affect deal value in M&A. HR compliance is a standard due diligence item for buyers. I approach employment issues with that broader business context in mind.

Fractional General Counsel

Many of my clients do not need a full-time general counsel but do need consistent, reliable access to legal advice. A fractional engagement provides that: regular availability, familiarity with your business, and the ability to handle matters as they arise, at a fraction of the cost of an in-house hire.
